Agentic Storefronts Supplemental Terms of Service

These supplemental terms and conditions ("Supplemental Terms") govern your use of Agentic Storefronts and supplement, but do not amend, the Terms of Service or any previously agreed to terms or agreement(s) with Shopify (the "Shopify Terms of Service"). The Shopify Terms of Service are incorporated herein by reference. In the event of a conflict between these Supplemental Terms and the Shopify Terms of Service, these Supplemental Terms will govern solely as to your use of Agentic Storefronts. Capitalized terms used herein without a definition will have the meaning(s) ascribed to them in the Shopify Terms of Service.

Shopify reserves the right, in our sole and absolute discretion, to update or change these Supplemental Terms in accordance with Section 15.1 of the Shopify Terms of Service.

Your use of Agentic Storefronts is also subject to the Participating Partner Terms outlined in Section 3 below, which are expressly incorporated herein by reference.

1. AGENTIC STOREFRONTS

Agentic Storefronts enables buyers to purchase products from eligible merchants directly in the user interface of certain approved partner channels ("Participating Partners"). For certain Participating Partners, Shop (as defined in Section 9.8 of the Shopify Terms of Service) enables your participation with the Participating Partner. 2. ELIGIBILITY

Shopify may determine, in its sole discretion, whether you or your Store are eligible to use Agentic Storefronts. For information on eligibility requirements, see Agentic Storefronts help documentation. Participating Partners may have additional requirements outlined in their respective terms ("Participating Partner Terms").

Only those Merchants who meet all requirements are eligible to access and use Agentic Storefronts. Your Materials and your use of Agentic Storefronts must comply at all times with these Supplemental Terms, the Shopify Terms of Service, Participating Partner Terms, all other applicable policies and guidelines of Shopify or its Participating Partners, and applicable law.

3. PARTICIPATING PARTNER TERMS INCORPORATION

By participating in Agentic Storefronts, you accept and agree to be bound by each of the following Participating Partner Terms to the extent the Participating Partner is enabled for your Shopify Store:

For Participating Partners who offer Apps to merchants in connection with Agentic Storefronts, the Participating Partner Terms may be made available to you directly by the Participating Partner in connection with the App.

Shopify may add new Participating Partners to Agentic Storefronts from time to time. The respective terms of any Participating Partners added to these Supplemental Terms are incorporated into this agreement by reference and will apply to the extent the Participating Partner is enabled for your Shopify Store. Your continued participation in Agentic Storefronts after additional Participating Partners are added constitutes your acceptance and agreement to the respective Participating Partner Terms.

In the event of a conflict between these Supplemental Terms and any Participating Partner Terms, these Supplemental Terms will govern with respect to Shopify's rights and obligations. For the avoidance of doubt, Shopify is not a party to any of the Participating Partner Terms, and is not liable to you or responsible for your compliance in respect thereof.

4. MERCHANT OBLIGATIONS AND AUTHORIZATIONS

While Agentic Storefronts provides you access to sell your products directly to customers in Participating Partners' user interfaces, the transaction is completed through your Shopify Store. You remain the seller of record, and are responsible for all aspects of the transactions between you and your customer(s) as outlined in the Shopify Terms of Service, including but not limited to Section 4, these Supplemental Terms, and Agentic Storefronts help documentation.

You acknowledge and agree that Participating Partners may customize your customer's experience on their respective user interface. This includes, but is not limited to, the ability of a Participating Partner to customize Shopify Checkout to match the branding and style of its user interface and override customizations you have made through the Checkout Branding API. You also acknowledge and agree that the customizations or configurations you set for your Shopify Store and Shopify Checkout, including but not limited to blocks built on Checkout UI Extensions that are added using the Checkout and Accounts Editor, customized shipping and delivery options, marketing opt-in, and abandoned checkouts, may not carry over to the Participating Partner's user interface. If any of the above customizations and configurations are required for your business, you are responsible for determining whether you should disable your participation with a Participating Partner as outlined in Section 8 below.

5. SHOPIFY RIGHTS AND OBLIGATIONS

You agree and acknowledge that the license granted to Shopify in the Shopify Terms of Service shall extend to and authorize Shopify to list, combine, feature, promote, distribute, and display your Materials, Store, and Your Trademarks (as those terms are defined in the Shopify Terms of Service) in Participating Partners' user interfaces for the purpose of enabling you to sell directly to your customers.

6. FEES AND TAXES

6.1 Fees

For certain Participating Partners, Shopify will assess a fee on transactions that occur as a result of your participation in Agentic Storefronts. You agree to pay the fees associated with each Participating Partner that are set out in your Shopify Admin, and any taxes on such fees, which are incorporated herein by reference (the "Agentic Storefronts Fees"). Agentic Storefronts Fees are in addition to other fees you are responsible for paying, including but not limited to Subscription Fees, Transaction Fees, and Additional Fees outlined in Section 5 of the Shopify Terms of Service. Agentic Storefronts Fees and taxes on such fees shall be collected from you by the applicable Payment Processor on our behalf in accordance with the Shopify Payments Terms of Service (which are incorporated into these Supplemental Terms by reference), including the Payment Processor Terms referenced therein.

Shopify may, in its discretion, offer you a trial period, in which Agentic Storefronts Fees are discounted or waived (the "Promotional Period"). The details of any such Promotional Period offered to you will be set out in your Shopify Admin. If you disable your participation with a Participating Partner after the expiration of the Promotional Period, you will not be eligible for an additional Promotional Period if you re-enable your participation with that Participating Partner.

Sections 5.5 through 5.7 of the Shopify Terms of Service apply to any taxes on Agentic Storefronts Fees that arise out of your use of or participation in Agentic Storefronts.

In the event a transaction is cancelled or refunded, you will receive a refund of the portion of the Agentic Storefronts Fees and associated sales tax that was charged on the transaction for your participation in Agentic Storefronts. You will not receive a refund of the transaction fees charged for Shopify Payments. For the avoidance of doubt, Shopify reserves the right to assess the Agentic Storefronts Fees as set out in your Shopify Admin for any transactions that occur as a result of your participation in Agentic Storefronts that are not cancelled or refunded.

6.2 Sales Tax

Section 5.8 of the Shopify Terms of Service generally applies to taxes, duties, fees, surcharges and additional charges that arise from or as a result of any sale or delivery of products through Agentic Storefronts. If Shopify determines that any state or local sales, use, or similar transaction tax should be collected and remitted by Shopify, Participating Partners, or you in connection with your sale or delivery of products or services through Agentic Storefronts, Shopify retains the right, but not the obligation, at its sole discretion, to collect and remit tax on your sales through Agentic Storefronts, and complete and file tax or related reports with tax authorities for transactions in any jurisdiction where Shopify deems such reporting necessary. Shopify also retains the right to collect from you all such taxes, penalties, and interest that are either unrecoverable from your customer or which remained uncollected due to incorrect information provided by you. You hereby indemnify and hold Shopify harmless from any and all liability related to taxes and filings made by Shopify in connection with these transactions.

7. DATA AND CUSTOMER RELATIONSHIPS

Your customer's purchase of your products directly in a Participating Partner's user interface is subject to your terms and privacy policy and the respective Participating Partner's terms and privacy policy with its users.

Shopify may disclose personal information of a customer, including data associated with the customer's order, to Participating Partners to allow the Participating Partner to initiate, process, or complete a customer's transaction on the Participating Partner's user interface, provide post-purchase order status updates to customers, for fraud and abuse prevention, and for legal compliance purposes ("Transaction Servicing and Legal Compliance Purposes"), or for any other use otherwise authorized by you in the Shopify Terms of Service, Supplemental Terms, or the Participating Partner Terms. For the avoidance of doubt, nothing in these Supplemental Terms restricts a Participating Partner's rights with respect to data it collects directly from a customer interacting with the Participating Partner, which is governed by the respective Participating Partner's terms and privacy policy with its users.

In order to enable your participation in Agentic Storefronts, Shopify may share personal information about you, including the name and business contact information associated with your Shopify Account, with a Participating Partner for Transaction Servicing and Legal Compliance Purposes.

8. TERMINATION

If you do not wish to sell your products directly in a particular Participating Partner's user interface, it is your responsibility to disable your participation with that Participating Partner in your Shopify Admin. If you disable participation, your products may still be discovered on the Participating Partner's user interface, but a customer will be redirected to checkout on your online store. Shopify may terminate these Supplemental Terms or modify or terminate the provision of services in connection with Agentic Storefronts for any reason and at any time without notice to you. Participating Partners may terminate the provision of their services in connection with Agentic Storefronts at any time without notice to you.

Except as otherwise specified, you are bound by these Supplemental Terms as long as Agentic Storefronts is active for your Shopify Store. Upon termination, all related rights and obligations under these Supplemental Terms immediately terminate, except that (a) you will remain responsible for performing all of your obligations in connection with transactions entered into before termination and for any liabilities that accrued before or as a result of termination, (b) Section 9 and 10 will survive the termination or expiration of these Supplemental Terms, and (c) you will remain bound by the Shopify Terms of Service to the extent you continue to use other Services.

9. DISCLAIMER, INDEMNITY, AND LIMITATION OF LIABILITY

The disclaimers, indemnities, and limitation of liability in the Shopify Terms of Service extend to Shopify in connection with Agentic Storefronts when you participate in Agentic Storefronts.

10. GENERAL

10.1 Non-Exclusivity. Nothing in these Supplemental Terms limits Shopify, Participating Partners, or your right to do business with other organizations, entities, or marketplaces that are similar to, or competitive with, products or services of other parties.

10.2 Marketing. Unless otherwise agreed, Merchant will not explicitly or implicitly state or imply any co-branding, sponsorship, agency, or other endorsement of Shopify or Participating Partners.

10.3 Confidentiality. The Confidentiality provision in Section 6 of the Shopify Terms of Service applies in its entirety to any Confidential Information disclosed or received by Shopify, Participating Partners, or Merchants in connection with Agentic Storefronts.

10.4 Subcontracting. Shopify, Participating Partners, or Merchant may subcontract any of their respective obligations under these Supplemental Terms, but will remain liable for all subcontracted obligations and its subcontractors' acts or omissions.

10.5 Entire Agreement. These Supplemental Terms constitute the entire agreement between Shopify and you respecting your use of Agentic Storefronts and supersede any prior written or oral agreements with respect to the subject matter herein.
