Shopify Payments Promotion

The Shopify Payments Discount (the “Promotion”) provides a limited-time opportunity to activate a discount on certain Shopify Payments processing fees when you meet the criteria below.

To participate, you agree to these terms, which become part of the Shopify Merchant Terms of Service (the “Shopify TOS”). Capitalized terms not otherwise defined here follow their definitions in the Shopify TOS.

How to Earn the Shopify Payments Discount

• You may earn the Shopify Payments Discount if: (a) you are located in Canada, (b) you have subscribed to an Eligible Plan, (c) you meet all eligibility requirements for Shopify Payments in Canada, including those set out in the applicable Shopify Payments Terms of Service (the ”SP Terms”), and have successfully set up and activated Shopify Payments, (d) you have an active Shopify POS Pro subscription, (e) you have been invited to participate in the Shopify Payments Discount through the Shopify website or by communication to you from Shopify directly, (f) you complete the required action(s) as specified in the invitation, and (f) the Store is compliant with the Shopify TOS (altogether, the “Earning Criteria”).
• “Eligible Plan” means Shopify Basic, Grow, Retail, Advanced, Plus services plan or other custom plan Shopify may approve.
• The Promotion can only be applied to the Store that meets the Earning Criteria (an “Eligible Store”).
• Shopify Partners (as defined under the Shopify Partner Program Agreement) are not eligible for the Shopify Payments Discount.

Shopify Payments Discount

Discount Terms:

• This offer is only available to claim until the earlier of (i) November 20, 2025 at 11:59 PM EDT, or (ii) a Disqualification Event occurring (“Offer Expiry”). You must accept this offer and satisfy the Earning Criteria prior to Offer Expiry to activate the Shopify Payments Discount.
• If you meet the Earning Criteria and accept this offer prior to Offer Expiry, you are eligible to receive a discount of up to 0.20% off the base Processing Fees (as that term is defined in the SP Terms) shown in the table below (the “Shopify Payments Discount”). The Shopify Payments Discount you receive will be determined at Shopify’s discretion. The Shopify Payments Discount will only apply to in-person domestic card transactions (not including manually entered in-person card transactions, Amex transactions, international card transactions, and Interac transactions) processed on each Eligible Store using Shopify Payments as its primary payment provider. This discount will be applied automatically once you’ve completed activation. To view your custom offer, check Settings > Payments > Shopify Payments > View rates in Admin.

• The Shopify Payments Discount will continue to be applied until a Disqualification Event has occurred or it is terminated by Shopify at its discretion in accordance with these terms. Notwithstanding anything to the contrary in these terms, Shopify reserves the right to change the Processing Fees at any time, subject to a thirty (30) day notice period to you in accordance with the SP Terms.
• Expiration: Your eligibility for the Shopify Payments Discount will automatically expire if any of the following occur (“Disqualification Event”):
  • you change your plan or your plan goes into a frozen state;
  • you change your country;
  • you otherwise no longer meet the Earning Criteria;
  • your Shopify User account or an Eligible Store is paused, canceled or terminated by you or Shopify;
  • you become ineligible for Shopify Payments;
  • you are in violation of these terms, the Shopify TOS, or the SP Terms.
• Other Fees: The Shopify Payments Discount only applies to Processing Fees on in-person domestic card transactions processed using Shopify Payments (not including manually entered in-person card transactions, Amex transactions, International card transactions, and Interac transactions). There is no discount to, and you remain responsible for, all other Fees payable under the Shopify TOS and the SP Terms, including, without limitation, Processing Fees for online card transactions, in-person international card transactions, Amex, Interac and manually entered in-person card transactions, foreign exchange fees and third-party transaction fees that are applicable when processing transactions using a third-party payment provider.
• Additional Terms Apply: At all times when using Shopify Payments you are required to comply with the SP Terms, including any other terms referred to in the SP Terms. Shopify reserves the right to cancel or terminate the Shopify Payments Discount for non-compliance with any of such terms.

Miscellaneous

• Eligibility; expiration: Determinations of eligibility for the Promotion, expiration or termination will be made in Shopify’s sole discretion. Shopify reserves the right to any remedy, including cancellation of your account or promotions, if fraud, tampering, technical errors, or violations of Shopify’s TOS are suspected.
• Changes; termination: Shopify reserves the right to cancel or change the Promotion or these terms at any time in its sole discretion.
• Notice: Any notice provided by us with respect to these terms will be deemed provided the day it is posted on our website.
• Governing law: These terms and this Promotion shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
• Severability: If any provision in these terms is deemed invalid, void, or unenforceable, such provision (or the portion of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.
