Earn

During each Card Statement period, earn Cashback Rewards on Eligible Purchases in the Spend Categories.

  • Earn 3% Cashback Rewards on Eligible Purchases in your Top Spend Category for up to US$100,000 in Eligible Purchases during each Account Year (“Top Spend Threshold”). After you reach the Top Spend Threshold, earn 1% Cashback Rewards on Eligible Purchases in your Top Spend Category for the remainder of your Account Year.
  • Earn 1% Cashback Rewards on Eligible Purchases in all Other Spend Categories.
Spend Categories

You can earn Cashback Rewards in the following spend categories:

  • Marketing: Eligible Purchases of marketing or advertising products and services from Google, Meta, Microsoft, Pinterest, Snap, TikTok and Twitter and through Eligible Marketing Apps.
  • Fulfillment: Eligible Purchases of shipping and fulfillment products and services from United States Postal Service, United Parcel Service, DHL Express, Flexport, Pirate Ship and Stamps.com and through Shopify Shipping, Shipsurance and Eligible Fulfillment Apps.
  • Wholesale: Eligible Purchases of inventory and supplies from Faire.
Cashback Rewards

Any earned Cashback Rewards will automatically appear as statement credits on your Card Account after your payment in full of the Card Statement in which the Eligible Purchases for which you earned the Cashback Rewards appear, provided your Card Account remains open and in good standing.

These Shopify Credit Rewards Program Terms set out the terms and conditions under which you may participate in our Shopify Credit Rewards Program (“Rewards Program”). This agreement is between Shopify (“we”, “us” or “our”) and the Merchant that is registered for a Shopify Credit Card Account ("you” and “your”).

Unless otherwise indicated, capitalized terms used but not defined in these Shopify Credit Rewards Program Terms have the meanings given in the Shopify Credit Program Terms (the “Program Terms”), which is provided to you by Shopify.

Your participation in the Rewards Program is subject to these Rewards Terms, and only available in connection with your use of a Card. If you do not agree to abide by all of the terms of this Rewards Program, you may not earn or redeem Rewards or otherwise participate in the Rewards Program.

1. Definitions

Account Year” means an annual period of twelve (12) months, beginning on the first day of the calendar month in which you are approved for a Card Account and ending on the last day of the twelfth (12th) month following such approval. The Account Year shall reset annually on the first day of the calendar month in which your Card Account was approved. For clarity, as an example, if you were approved for a Card Account on August 6, 2023, your initial Account Year would be from August 1, 2023 to July 31, 2024, and each subsequent Account Year would be a period of twelve (12) months beginning on August 1st and ending on July 31st of the following year.

"Billing Cycle” means the time interval covered by a Card Statement. Each Billing Cycle is one calendar month, except the first and last Billing Cycles, which may be shorter or longer.

Card Rewards Partners” means independent third parties that have agreed to offer and/or furnish one or more rewards to Merchants who participate in the Rewards Program.

Cashback Rewards” means the rewards you earn in the form of a discount of a percentage of the amount of an Eligible Purchase.

Eligible Fulfillment Apps” means the following Apps available on the Shopify App Store: Shopify Fulfillment Network, Shipstation, Shippo, AfterShip Order Tracking, AfterShip Shipping + Labels, AfterShip Returns and Parcel Panel Order Tracking.

Eligible Marketing Apps” means the following Apps available on the Shopify App Store: Shopify Email, Shopify Audiences, Klaviyo: Email Marketing & SMS, Mailchimp: Email Marketing, Instafeed, Yotpo Email Marketing & SMS, Yotpo Product Reviews & UGC , Yotpo Subscriptions, Yotpo: Loyalty & Rewards, Loox Product Reviews & Photos and Privy - Pop Ups, Email & SMS.

Eligible Purchases” means the U.S. dollar amount of Charges of goods and services you or your authorized users make using your Card Account for business purposes, minus merchant credits and plus or minus appropriate purchase adjustments posted to your Card Account. Eligible Purchases do not include balance transfers, cash advances and other cash-like transactions, traveler’s checks, foreign currency, money orders, or wire transfers, lottery tickets, casino gaming chips, race track wagers or similar betting transactions, any checks that access your account, interest, unauthorized or fraudulent charges, fees of any kind, or any other transactions that Shopify may determine in its sole discretion are not eligible to earn Cashback Rewards.

Fulfillment Category” means Eligible Purchases of shipping and fulfillment products and services from United States Postal Service, United Parcel Service, DHL Express, Flexport, Pirate Ship and Stamps.com and through Shopify Shipping, Shipsurance and Eligible Fulfillment Apps.

Marketing Category” means Eligible Purchases of marketing or advertising products and services from Google, Meta, Microsoft, Pinterest, Snap, TikTok and Twitter and through Eligible Marketing Apps.

Other Spend Categories” means the two Spend Categories, other than your Top Spend Category.

Rewards” refers to Cashback Rewards and Card Rewards.

Shipsurance” means the feature provided on the Shopify platform that allows you to protect your orders shipped from the United States when you use Shopify Shipping labels by purchasing shipping insurance for up to US$5,000 of insurance coverage administered through Shipsurance.

Shopify Shipping” means the feature provided on the Shopify platform that allows you to connect your Shopify Account with Shopify’s shipping carrier accounts.

Spend Categories” means the Marketing Category, the Fulfillment Category and the Wholesale Category. Spend Categories may be subject to change without notice.

Statement Balance” means the total amount incurred through use of your Cards or posted to your Card Account (which will include, without limitation, Charges, fees, and any other amounts) during each Billing Cycle, as reflected on a Card Statement.

Wholesale Category” means Eligible Purchases of inventory and supplies from Faire.

2. Eligibility to Participate in the Rewards Program.

In order to participate in the Rewards Program, your Card Account must be open and at all times remain in good standing. We may suspend or terminate your participation in the Rewards Program if you fail to comply with the terms of this Rewards Program, the Program Terms or the Issuing Bank Terms.

3. Earning and Posting of Cashback Rewards.

At the end of each Billing Cycle, your Eligible Purchases within each Spend Category will be totaled and the amount of Cashback Rewards for each Billing Cycle will be determined as follows:

  • 3%: The Spend Category with the highest spend during each Billing Cycle (“Top Spend Category”) will earn 3% Cashback Rewards on Eligible Purchases; provided that after you have received 3% Cashback Rewards for up to US$100,000 in Eligible Purchases during your Account Year, you will receive 1% Cashback Rewards on your Top Spend Category for the remainder of such Account Year.
  • 1%: The Other Spend Categories during each Billing Cycle will earn 1% Cashback Rewards on Eligible Purchases.

Eligible Purchases that do not fall into the Spend Categories are not eligible to earn any Cashback Rewards.

We will use your total amount of Eligible Purchases spent in each Spend Category during each Billing Cycle to determine your Top Spend Category for each Billing Cycle. Once we identify your Top Spend Category for a Billing Cycle, it will not be changed, even if purchases from that Spend Category are returned in a later Billing Cycle. We shall have the sole right to determine your Top Spend Category for each Billing Cycle and our decision will be final.

Cashback Rewards will be automatically applied as statement credits to your oldest outstanding Statement Balance, and subsequently to each next oldest outstanding Statement Balance in sequence, and then to the current Billing Cycle, if any. Cashback Rewards will typically appear within three (3) to five (5) days after the end of the Billing Cycle of the Card Statement in which the Eligible Purchases for which you earned the Cashback Rewards appear. If your Card Account is not in good standing or if you fail to pay a Card Statement on time, you will not receive Cashback Rewards for the applicable Billing Cycle(s). Adjustments may be made to your future Cashback Rewards or a debit entry may be posted on your Card Account as a result of canceled transactions, refunds or other credits to your Card Account (including those resulting from successful transaction disputes). An adjustment may also occur if these Rewards Terms, the Program Terms or the Issuing Bank Terms are violated by you or we believe you are abusing or gaming the Cashback Rewards.

From time to time, bonus Cashback Rewards (“Bonus Cashback Rewards”) may be available for certain Eligible Purchases and will be subject to the terms and conditions of the Bonus Cashback Rewards offer made to you in addition to these Rewards Terms.

4. Earning and Redeeming Card Rewards.

From time to time, certain credits, discounts, bonuses or other benefits in connection with services or products from us or our Card Rewards Partners may be made available to you through email, via your Shopify Admin, or other marketing communications. Each such credit, discount, bonus or benefit is referred to in this Rewards Program as a “Card Reward”.

Specific terms and conditions may apply to the availability of a Card Reward and how you earn the Card Reward. You may be required to affirmatively accept terms and conditions when you redeem a Card Reward. By redeeming or accepting fulfillment of a particular Card Reward, you acknowledge that you have read and agreed to the applicable terms and conditions for that Card Reward.

5. Personal Information.

You may be required to provide personal information to us to redeem a Reward. If you redeem a Card Reward that is offered or fulfilled in whole or in part by a Card Rewards Partner, you authorize us to share your personal information with the Card Rewards Partner to facilitate redemption and fulfillment of the Card Reward. For information about the personal information we obtain and collect, and how we share that personal information with third parties including Card Partners, please review our Privacy Policy.

You may be required to provide personal information directly to a Card Rewards Partner in order to redeem or receive fulfillment of a Card Reward. A Card Rewards Partner’s use of personal information that you provide to the Card Rewards Partner is governed by the Card Rewards Partner’s privacy policy, and not our Privacy Policy.

6. Suspension and Termination.

This Rewards Program will terminate when you no longer use a Card Account, when your Program Terms are terminated for any reason or when your Issuing Bank Terms are terminated for any reason. We may suspend or terminate this Rewards Program or suspend or retire any of the Rewards at any time.

7. Changes to Rewards Program.

Shopify reserves the right to add to, delete, or amend these Rewards Terms at any time and for any reason, including the terms governing availability, earning and redemption of any Rewards. Rewards are subject to change or cancellation at any time, and the availability of any particular Reward at any particular time is not guaranteed. Shopify reserves the right to deliver to you any notice of changes to these Rewards Terms by posting updates to the Shopify website, providing notice in your Shopify Admin, or by providing notice of such changes to you electronically. Your continued use of the Rewards Program will constitute acceptance of any amended or new terms. You are advised to check the Rewards Terms from time to time for any updates or changes that may impact you.

8. Taxes.

You are solely responsible for taxes, if any, arising from or related to earned or redeemed Rewards. We will not report any income or earnings in connection with your Rewards unless we are expressly required to do so by law.

9. Forfeiture, Fraud and Abuse.

You acknowledge that the Rewards Program is a promotional program as to which no consideration has been paid to you and that Rewards have no cash value. You may not pledge or transfer Rewards to any third party. If you attempt to pledge or transfer any Rewards by law or agreement, the pledge or transfer will be void and you will forfeit your Rewards. Any earned or unearned Rewards are forfeited upon the closing of your Card Account for any reason or if we determine in our sole discretion you have not complied with these Rewards Terms, the Program Terms or the Issuing Bank Terms. Further, you may be required to forfeit Rewards if we determine in our sole discretion that (i) you have engaged in fraud or misrepresentation with respect to earning or redeeming Rewards, (ii) you have abused or misused any offer of any Reward or the Rewards Program, or (iii) you are otherwise not entitled or intended to receive the Rewards.

10. Limitation of Liability.

Under no circumstances will we be responsible or liable to you for any indirect, punitive, incidental, special, consequential, or exemplary damages resulting from your use or inability to use the Rewards Program, or for the unavailability of the computer systems we use to provide the Rewards Program to you; or for lost profits, personal injury, or property damage, or for any other damages arising out of, in connection with, or relating to this Rewards Program, even if such damages are foreseeable, and whether or not you have been advised of the possibility of such damages. Our maximum liability to you for direct damages under this Rewards Program is limited to the lesser of any amount paid by you to Shopify for Rewards in the 12 months preceding the event that is the basis of your claim or USD$500.

11. Indemnification.

You will, at your own expense, hold harmless, defend, protect, and indemnify us from and against all losses, claims, breaches, suits, damages, liabilities, costs, charges, reasonable attorneys’ fees, judgments, fines, court costs and expenses, amounts paid in settlement, and all other liabilities of every nature, kind, and description regardless of the form of action or legal theory incurred by us, related to any action or threatened action, suit, claim, proceeding or regulatory action, regardless of merit brought by any third party against us caused or incurred by, resulting from, arising out of, or related to your: (a) breach of any obligation, representation, warranty or covenant in these Rewards Terms; (b) any misrepresentation regarding your eligibility for Rewards; (c) any actual or alleged infringement, violation, or misappropriation of a third party’s intellectual property or proprietary rights; (d) gross negligence, fraud or intentional misconduct; or (e) violation of applicable law.

12. No Warranties.

WE PROVIDE THE REWARDS PROGRAM “AS IS” AND “AS AVAILABLE,” WITHOUT ANY EXPRESS, IMPLIED, OR STATUTORY REPRESENTATIONS OR WARRANTIES, INCLUDING WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR ANY OTHER TYPE OF WARRANTY OR GUARANTEE. NO DATA, DOCUMENTATION, OR ANY OTHER INFORMATION PROVIDED BY SHOPIFY OR OBTAINED BY YOU FROM OR THROUGH THE REWARDS PROGRAM CREATES OR IMPLIES ANY WARRANTY FROM SHOPIFY TO YOU.

CARD REWARDS PROVIDED BY CARD REWARDS PARTNERS AND OTHER THIRD PARTIES ARE NOT PROVIDED OR CONTROLLED BY SHOPIFY. SHOPIFY DISCLAIMS ALL LIABILITY RELATED TO FAILURES OR LOSSES CAUSED BY SUCH REWARDS OR THEIR FULFILLMENT OR DELIVERY BY CARD REWARDS PARTNERS OR OTHER THIRD PARTIES. SHOPIFY DOES NOT WARRANT OR GUARANTEE THAT CARD REWARDS PROVIDED BY CARD REWARDS PARTNERS OR OTHER THIRD PARTIES WILL BE FULFILLED OR DELIVERED IN THE MANNER DESCRIBED.

SHOPIFY DOES NOT WARRANT OR GUARANTEE THAT REWARDS WILL PROVIDE ANY VALUE TO YOU, OR THAT ERRORS OR DEFECTS IN THE REWARDS PROGRAM OR REWARDS WILL BE CORRECTED OR REMEDIED, EVEN WHEN WE AWARE OF THE ERRORS OR DEFECTS.

13. Governing Law; Jurisdiction; Venue.

Delaware law, without regard to conflict of law principles, governs any claims or controversies arising out of these Rewards Terms. The exclusive venue for any actions or claims arising under or related to these Rewards Terms shall be a court of competent jurisdiction in Delaware.

14. Entire Agreement.

The terms set out in these Rewards Terms constitute the complete understanding of you and us with respect to the Rewards Program and supersedes all prior understandings, arrangements, or agreements, whether written or oral, regarding the Rewards Program. No waiver by Shopify of any breach of any provision of these Rewards Terms will be construed as a waiver of any succeeding breach of the same or any other provision of these Rewards Terms. We do not waive our rights by delaying or failing to exercise them at any time.

We may transfer or assign any of our rights or obligations under these Rewards Terms without providing you notice. You may not transfer or assign Rewards or these Rewards Terms to another person or entity. Any assignment in violation of the foregoing will be null and void from the beginning. If any provision of these Rewards Terms are held to be invalid or unenforceable, such provision will be deemed to be modified to the minimum extent necessary to make it valid and enforceable and the rest of these Rewards Terms will not be affected.
